1. Agreement
These Terms of Service govern your use of the HiOps website and any services, samples, or datasets HiOps provides to you. By using the site or requesting services, you agree to these terms. Commercial engagements are governed by a separate written agreement, which prevails over these terms where they conflict.
2. Services
HiOps collects, annotates, and delivers video and related data for training and evaluating machine-learning models. The scope, volume, format, timeline, and price of any engagement are defined in a written order or statement of work agreed between you and HiOps.
3. Samples and pilots
Sample data is provided for evaluation only. Unless a written agreement says otherwise, you may use samples internally to assess fit and quality but may not redistribute them, publish them, or use them to train production models.
4. Data rights
Datasets delivered under a commercial agreement are licensed to you under the terms of that agreement. HiOps obtains consent from, and compensates, the people who appear in its data, and warrants that delivered data is cleared for the uses specified in your agreement. You agree not to attempt to identify individuals who appear in the data.
5. Acceptable use
You may not use HiOps data or services to build systems intended to surveil, profile, or harm individuals, to violate any law, or in breach of the usage restrictions in your agreement.
6. Confidentiality
Each party will keep the other's non-public information confidential and use it only for the purposes of the engagement.
7. Intellectual property
HiOps retains all rights in its collection methods, tooling, annotation schemas, and the site. Nothing in these terms transfers ownership of HiOps intellectual property to you.
8. Disclaimers and liability
Except as expressly stated in a written agreement, services and data are provided "as is". To the fullest extent permitted by law, HiOps is not liable for indirect, incidental, or consequential damages, and its total liability is limited to the amounts you paid for the services giving rise to the claim.
9. Changes
HiOps may update these terms from time to time. Continued use of the site after changes are posted constitutes acceptance of the updated terms.
10. Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California.
